PALLAS CAPITAL Corporate Solutions advises the sale of the Network Dimensions Group to the SYSTABUILD Software Group (Bregal Unternehmerkapital)

PALLAS CAPITAL Corporate Solutions GmbH exclusively advised the shareholders of the Network Dimensions Group—Network Dimensions Entwicklungs- und Vertriebs GmbH and ND Projects GmbH— in the sale process of a majority stake to SYSTABUILD Software Group GmbH.

Network Dimensions

Network Dimensions is a specialized provider of comprehensive ERP solutions for the construction and related industries in the DACH region and has been established in the market for over 25 years. The group was founded by Günther Schwaiger, founder and managing director, together with Florian Thurner, managing director of ND Projects. At the heart of the business is the company’s proprietary, fully integrated construction ERP solution, MEGABAU, based on Microsoft Dynamics 365 Business Central, which, with over 50 modules, covers more than 60 sub-sectors, including building construction, civil engineering, timber construction, HVAC, and electrical engineering. Unlike generic providers, Network Dimensions delivers industry-specific software and comprehensive consulting services from a single source and boasts a broad and long-standing customer base in Austria, Germany, and Switzerland. The group comprises Network Dimensions Entwicklungs- und Vertriebs GmbH, headquartered in Vienna, which is primarily responsible for the product and the further development of MEGABAU, as well as ND Projects GmbH, based in Villach, which handles consulting, implementation, and support. Together, the companies employ approximately 20 people.

The Deal

With this transaction, Günther Schwaiger secures his long-term succession plan while simultaneously placing Network Dimensions’ growth trajectory on a broader footing. PALLAS CAPITAL Corporate Solutions was mandated by the shareholders to identify the right partner for this next phase of development and to support the sale process at every stage. Through a structured process, the SYSTABUILD Software Group, part of Bregal Unternehmerkapital AG, was identified as the ideal partner. SYSTABUILD has acquired a majority stake in Network Dimensions Entwicklungs- und Vertriebs GmbH and ND Projects GmbH, while Florian Thurner remains on board as a shareholder of Network Dimensions through a reinvestment and will play a leading role in guiding the next steps growth steps within the partnership. At the same time, Florian Thurner will join the management board of the Vienna-based parent company, Network Dimensions, in addition to his existing responsibilities at ND Projects. Network Dimensions will continue to operate as an independent unit within the SYSTABUILD Software Group. As part of the group, the companies will gain access to resources for international expansion, the expansion of the product portfolio, and expertise in further developing the subscription-based SaaS model.
